Proofpoint to acquire Varonis Systems in a $6.3 billion all-cash deal announced October 15, 2026, combining email, data, and AI security to protect sensitive business information.

Under the agreement, Varonis shareholders will receive $49.75 per share in cash. That represents a 52% premium over its June 22 closing price, before initial sale rumors, and a 17% premium over its September 1 closing price, before further media reports. Investment firm Thoma Bravo owns Proofpoint.

The deal’s technical focus is access. As AI agents read files and take action across business systems, security teams need to know what information those agents can reach, whether they need that access, and how they use the data. Proofpoint and Varonis plan to connect those controls within a unified platform.

Varonis brings tools that help organizations find sensitive data, understand permissions, and reduce exposure. Its platform also provides automated data controls and round-the-clock managed detection and response.

Proofpoint protects communications and data across email, cloud services, and collaboration tools, while extending protection to AI workflows.

Together, these capabilities could help security teams connect suspicious activity with the sensitive information at risk. The planned platform would combine visibility into communications, identities, permissions, and data use. However, these remain integration goals rather than features available through a completed merger.

“As AI becomes embedded across the enterprise, the data it can access determines both its value and its risk,” Proofpoint CEO Sumit Dhawan said in the announcement.

Varonis CEO and co-founder Yaki Faitelson said joining Proofpoint would help the company advance its mission of securing AI and the data behind it.

The companies expect their combined business to serve more than 16,000 enterprises and millions of organizations worldwide. After closing, Proofpoint plans to integrate their capabilities, coordinate sales efforts, and speed delivery of the combined platform.

The announcement does not provide a detailed product rollout schedule. The move follows Proofpoint’s acquisition of Hornetsecurity, which expanded its protection for Microsoft 365 environments.

Varonis has also developed AI-focused controls, including AI Shield, covered in Cybersecurity News’ RSA Conference security announcements. That product focuses on finding exposed data, monitoring AI interactions, and adjusting permissions.

According to the official acquisition announcement, the deal is expected to close in the first half of 2027. Varonis’ board approved it unanimously, but shareholder and regulatory approvals remain outstanding. Thoma Bravo has committed equity funding and secured debt commitments. Ontario Teachers’ Pension Plan will also invest in Proofpoint.

Until closing, both companies will operate independently. Varonis will become private and leave Nasdaq once the transaction is completed.

For customers, the key question is how quickly the promised data and AI controls become a working platform. The announcement sets that direction, but does not yet establish integration timelines or customer migration plans.
